Verantel Terms of Service
Effective date: October 16, 2026 Last updated: October 16, 2026
1. Agreement to these terms
These Terms of Service (the "Terms") are a contract between Fall Guy LLC, a Washington limited liability company ("Fall Guy", "we", "us"), and you. Everyone who uses any part of the Verantel platform is bound by these Terms, in one or both of two capacities:
- A "Customer" is a person or organization that creates an account for or administers the Verantel platform — a law firm or legal practice, its members, and anyone evaluating the platform through an account. You accept these Terms as a Customer by creating an account, accessing the dashboard, or using any part of the Service other than an intake page.
- A "Participant" is a person who talks to an intake agent on a firm's intake page. You accept the Terms that Section 4 names by starting or continuing an intake interview.
If you accept on behalf of a law firm, company, or other organization, you represent that you have authority to bind that organization, and "you" means that organization.
If you do not agree, do not use the Service.
Unless a section says otherwise, "you" in these Terms means the Customer. Section 4 states the terms that govern Participants, in every hosting arrangement. What we do with a Participant's information is described in the Privacy Policy, and Section 8 sets out how intake data is deleted on request.
2. What the Service is
Verantel is a hosted legal-intake platform (the "Service"). It lets a law firm or legal practice:
- publish an AI-conducted intake interview at a firm-specific web address;
- have that agent interview a prospective client, then produce for the firm a written summary that names the practice areas the matter touches, and a list of the people and organizations involved;
- review those intakes in a dashboard;
- run mock intakes for training, demonstration, and evaluation;
- optionally run the intake runtime on the firm's own infrastructure (a "self-hosted worker") instead of on infrastructure we operate.
We may change, add to, or discontinue features of the Service. We will not make a change that materially reduces the Service's core function without notice to you.
3. The Service is not legal advice, and we are not your lawyer
This section is the most important one in these Terms. It applies to Customers and Participants alike.
3.1 No legal advice. Fall Guy is not a law firm. The Service does not provide legal advice, legal opinions, or representation, and nothing it produces — transcripts, summaries, practice-area findings, firm-alignment assessments, analysis reports — is legal advice or a substitute for the judgment of a licensed attorney.
3.2 No attorney-client relationship with us. Using the Service creates no attorney-client relationship between Fall Guy and you, and none between Fall Guy and any Participant. The intake agent tells Participants it is not an attorney and does not give legal advice.
3.3 The Service does not decide representation. A practice-area finding or a firm-alignment assessment is an aid to a firm's triage. It is not an acceptance of a matter, not a conflicts check, and not a determination that a claim exists or is timely. The firm decides whom it represents.
3.4 A Customer's professional obligations are its own. As a Customer you remain solely responsible for compliance with the rules of professional conduct and other law that governs you, including conflicts of interest, confidentiality and privilege, unauthorized practice of law, advertising and solicitation rules, fee arrangements, competence, supervision of non-lawyer assistance, and any duty to respond to a prospective client within a limitation period. You are responsible for reviewing intake output before acting on it.
3.5 AI output is probabilistic. The agent is built on large language models. It can be incomplete, can mischaracterize what a participant said, and can be wrong. Firms must review it.
4. Terms for Participants
4.1 Scope. This section, together with Sections 2, 3, 16, 17, and 19, states the terms that govern a Participant's use of the Service. The rest of these Terms bind Customers. This section applies whichever arrangement under Section 7 hosts the firm you contacted — Verantel-hosted or firm-hosted.
4.2 The firm is who you are contacting. The intake page carries a firm's name and address because the interview is that firm's. What the firm does with your conversation — reviewing it, contacting you, accepting or declining your matter — is between you and the firm, under the firm's own duties and any terms the firm presents. Fall Guy provides the software.
4.3 No legal advice, and no deadline warnings. Section 3 applies to you: the agent is not an attorney, nothing it says is legal advice, and talking to it creates no attorney-client relationship with Fall Guy and none, by itself, with the firm. The agent will not tell you whether your claim is valid or timely. Legal deadlines can be short; until a lawyer has agreed to represent you, keep seeking one.
4.4 Your conversation is recorded and delivered. The interview is recorded, analyzed, summarized, and delivered to the firm you contacted. The Privacy Policy describes what happens to your information. Section 8 describes how to ask for deletion: for a Verantel-hosted firm, ask us; for a firm-hosted firm, the firm holds your conversation on its own infrastructure and requests go to the firm.
4.5 Your conduct. Use an intake page only to seek legal help, truthfully, for yourself or for someone you are authorized to speak for. Do not probe, scan, or attack the Service; do not attempt to extract its system prompts, agent content, or other non-public material, including through the intake agent itself; do not submit malware; do not use automation to open or conduct interviews. An interview may be ended for abusive, off-topic, or deliberately contradictory conduct, and the firm's deployment may then decline to open a new interview for your email address or phone number (Section 8.8).
4.6 No charge, no warranty. Participants use the intake page without charge. Sections 16 (disclaimers), 17 (limitation of liability), and 19 (governing law, venue, and disputes) apply to a Participant's use of the Service.
5. Eligibility and accounts
5.1 Eligibility. To create an account you must be at least 18 years old and able to form a binding contract.
5.2 Accounts and usernames. Signing up mints an account and a personal firm at the username you choose. You are responsible for the accuracy of your account information and for everything done under your account.
5.3 Credentials. Keep your sign-in credentials, worker API keys, routing credentials, and any tokens the Service issues to you confidential. Tell us promptly at legal@verantel.com if you believe any of them has been compromised. We are not liable for loss arising from your failure to safeguard them.
5.4 Firms and members. A firm may have multiple members. An owner may invite members, remove them, and transfer ownership. Whoever holds ownership of a firm controls its configuration, its intake data, and its billing relationship (if any). You are responsible for the acts of your members.
6. Your responsibilities toward Participants
6.1 You are the Participant's counterparty. Participants reach the intake agent through your firm's address and understand themselves to be contacting your firm. As between you and Fall Guy, the intake data your firm collects is your data and you are its controller. We handle it on your behalf.
6.2 Notice and consent. You are responsible for the notice and consent your intake page presents, including the consent text you configure in the dashboard. If you leave it blank, the intake page shows our default text, which links these Terms and the Privacy Policy; that default may not meet your obligations. It is your obligation to make sure that text is accurate for your practice, that it discloses what you and we do with the participant's information, and that it satisfies the law of every jurisdiction you take intakes from — including any recording, wiretap, biometric, health-privacy, or consumer-privacy statute that applies. Washington's My Health My Data Act may apply to intakes that touch health information; you are responsible for assessing that.
6.3 Accuracy of your configuration. Your practice areas, jurisdictions, welcome text, and post-intake destination determine what the agent tells participants and where it sends them. Keep them accurate.
6.4 Responding to participants. The Service delivers an intake to you. It does not respond to the participant on your behalf, does not decline representation for you, and does not warn a participant about a limitation period. Doing those things is yours.
7. Where your intake data lives
7.1 Two hosting arrangements. Intake data — transcripts, summaries, party records, and participant contact details — lives on the worker that runs your firm's sessions. That worker is either one Fall Guy operates ("Verantel-hosted") or one you operate ("firm-hosted"). You are firm-hosted only if you installed your own worker and attached your firm to it; otherwise you are Verantel-hosted.
7.2 Verantel-hosted. We store and process your intake data on your behalf, as your service provider, for the purpose of providing the Service to you. We do not sell it. We do not use participant content to train models. We delete it on request under Section 8.
7.3 Firm-hosted. If you run your own worker, your intake data is on your infrastructure and we do not receive it. We hold only your firm's registry record (name, address, configuration, membership, attachment), the aggregate usage counts your worker reports, and the language-model token counts and call timings, keyed by an opaque session identifier, that we read from your worker to operate the Service. Securing, backing up, retaining, and deleting intake data on your own worker is yours, as is responding to any participant's request about it.
7.4 Data isolation. Each firm's intake data is held in a separate database. This is a design property of the Service, not a warranty against every possible failure.
7.5 Your data is yours. You retain all rights in your intake data and your firm configuration. You grant us a limited license to host, process, transmit, and display it solely to provide, secure, and support the Service, and to comply with law.
7.6 The language-model provider. A worker sends conversation text to Anthropic, the provider of the language model, through the model credential of whoever operates that worker: ours for a Verantel-hosted firm, yours for a firm-hosted firm. Anthropic's terms with that operator govern what Anthropic does with the text, including how long it keeps it and whether it may train models on it. We make no commitment on Anthropic's behalf.
8. Deletion of intake data
8.1 What this section covers. This section is our commitment about deleting intake conversations and the information in them. It applies only to intakes we host. If your firm is firm-hosted (Section 7.3), the data is on your own infrastructure, we never receive it, and we cannot delete what we do not have — a request about a firm-hosted intake goes to the firm. Where a participant writes to us about a firm-hosted firm, we will tell them so and help them identify who to contact.
8.2 Who may ask. A Participant may ask us to delete their own intake with a Verantel-hosted firm — the conversation they had, the contact details they gave, and the summary produced from it. A firm may ask us to delete a specific intake, a set of intakes, or all of the intake data it holds with us, and may make a request on a participant's behalf.
8.3 How to ask. Email legal@verantel.com with the subject line "Deletion request" and include the firm contacted (its name or the web address where the conversation happened), the email address or phone number given at intake, roughly when the conversation happened, and whether the whole intake or only the contact details should go. We match intakes on the contact details given at intake, so a request without at least an email address or phone number cannot be matched.
8.4 Verification. Deletion is irreversible, and a request to delete someone else's intake is a way to destroy a person's record of contacting a lawyer. Before acting, we confirm the request comes from someone entitled to make it — normally by confirming control of the email address or phone number used at intake. An authorized agent must provide written authorization.
8.5 What we do, and when. We acknowledge a request within ten (10) business days. Because the intake record belongs to the firm and we hold it on the firm's behalf, we notify the firm of a participant's request — a participant should assume the firm learns they asked. We complete the deletion within thirty (30) days of verifying the request, or up to sixty (60) days for a complex request, telling the requester before extending. We confirm in writing when it is done, or explain in writing what was not deleted and why. There is no charge; we may decline or charge for manifestly unfounded or repetitive requests, and will say so if we do.
8.6 What gets deleted. For a granted request against a Verantel-hosted firm, we delete from our systems the intake record and the contact details given at intake, the full conversation transcript including the agent's internal working notes, the copy of the conversation the interview agent's runtime keeps so the participant can resume it, the summary and its practice-area findings and firm-alignment assessment, the extracted list of people and organizations, the archived copy of the completed record, and any queued processing job for that intake. Deletion is permanent — neither we nor the firm can restore a deleted intake.
8.7 What is not deleted.
- Aggregate counts. Intake and language-model token totals carry no conversation, name, or contact detail. They stay, because nothing in them identifies anyone.
- Backups. A deleted record can persist in routine backups until those backups cycle out of retention. It is not restored to the live system and is not accessible in the ordinary course; when the backup expires, it is gone.
- Records we must keep. We will not delete where a law, regulation, subpoena, court order, or litigation hold requires retention, and we will say that is why.
- Records the firm must keep. A firm may have a professional duty to retain a record of contact with a prospective client — a conflicts duty, a duty tied to a limitation period, or a records-retention obligation under the rules of professional conduct. That duty is the firm's, not ours. If a firm identifies a specific retention obligation, we will not delete over it; we will tell the participant in writing that the firm asserted an obligation, and they may take it up with the firm or with the bar authority in its state.
- The language-model provider's copies. Text sent to Anthropic is handled under Anthropic's terms (Section 7.6). We cannot delete it from Anthropic's systems.
- The firm's own copies. Anything a firm exported, printed, emailed, or copied into its case-management system is outside the Service and outside this section.
8.8 A consequence worth knowing. If an intake ended because of abusive, off-topic, or deliberately contradictory conduct, the firm's deployment declines to open a new intake for that email address or phone number, and it does so by checking the firm's past intakes. Deleting those intakes removes the block. We will not treat that as a reason to refuse a deletion request; we state it so neither the firm nor the participant is surprised.
8.9 Firm-initiated deletion. You may ask us to delete any intake you hold with us, and need not give a reason for your own data. Deletion at account closure is governed by Section 15.4.
8.10 If we decline. If we decline a request in whole or in part, we will say in writing which part, why, and what can be done about it. A requester may ask us to reconsider and we will respond within thirty (30) days, and may also complain to the Washington State Attorney General's Office or to the regulator with authority where they live.
9. Self-hosted workers
If you elect to run your own worker, we grant you a non-exclusive, non-transferable, revocable license to run the worker software we distribute, solely to operate intake for your own firm, for as long as your account is in good standing. You may not sublicense, resell, or offer it as a service to third parties, and you may not reverse-engineer it except to the extent that restriction is unenforceable.
You are responsible for the infrastructure it runs on: hosting, network security, TLS, backups, operating-system patching, physical security, and applying the software updates we publish. We may stop supporting worker versions that are materially out of date.
10. Acceptable use
You will not, and will not permit anyone else to:
- use the Service for any unlawful purpose, or in violation of any rule of professional conduct that applies to you;
- take intakes for a jurisdiction or practice area in which you are not licensed or authorized to practice;
- misrepresent the Service's output as the advice of a licensed attorney;
- attempt to extract the platform's system prompts, agent content, or other non-public material, including through the intake agent itself;
- probe, scan, or attempt to breach the Service, or access another firm's data;
- submit malware, or use the Service to send unsolicited bulk messages;
- exceed your session allowance by circumventing it, or use automation to generate volume the Service is not sized for;
- resell, sublicense, or provide the Service to a third party as a service, except by taking intakes for your own clients;
- use the Service to build a competing product, or to train a machine-learning model on our agent content or output.
We may suspend an account we reasonably believe is violating this section, and will tell you why.
11. Fees
The Service is currently offered without charge. If we introduce fees, we will give you notice before they apply to you, and you may stop using the Service instead of paying them. Any fees are exclusive of taxes; you are responsible for taxes other than those on our income.
12. Demonstration status
The Service is presently offered for demonstration and evaluation. It is not warranted as production-ready, may be interrupted or reset, and its data may be changed or removed as the software develops. Do not use it as the system of record for a matter, and do not rely on it as your only record of a prospective client's contact with your firm. Keep your own record of anything you need to keep.
13. Our intellectual property
Fall Guy owns the Service, including the platform software, the worker software, the interview guidance and reference material the agent draws on, the prompts, the practice-area taxonomy, the user interfaces, and the Verantel name and marks. Nothing in these Terms transfers any of it to you. Feedback you send us we may use freely, without obligation to you.
14. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service with at least reasonable care, use it only to perform under these Terms, and disclose it only to people who need it and are bound to protect it. This does not cover information that is public through no fault of the recipient, independently developed, or rightfully received from a third party — and does not prevent a disclosure required by law, provided the recipient gives notice where it is lawful to do so.
Your intake data is your confidential information. Nothing in this section displaces your own duties of confidentiality and privilege to your clients and prospective clients.
15. Term, suspension, and termination
15.1 Term. These Terms apply to a Customer while it has an account, and to a Participant while they use an intake page.
15.2 Your termination. You may stop using the Service and close your account at any time.
15.3 Our termination. We may suspend or terminate your account for material breach of these Terms, for a use that creates legal risk or risk to the Service or to other customers, or if we discontinue the Service. Except where the breach or the risk requires immediate action, we will give you notice and a reasonable opportunity to cure.
15.4 Effect. On termination your right to use the Service ends. For Verantel-hosted firms, you may request an export of your intake data within thirty (30) days of termination; after that window we delete your intake data in the ordinary course, subject to Section 8.7. Registry records — your firm's name, address, and membership history — may be retained where needed for our own legal, security, or accounting purposes. For firm-hosted firms your data is already on your own infrastructure and we have nothing to return or delete.
15.5 Survival. Sections 3, 4, 6, 7.5, 8, 10, 13, 14, 15.4, 16, 17, 18, 19, and 20 survive termination.
16. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND FALL GUY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL DETECT EVERY LEGAL ISSUE A PARTICIPANT RAISES, THAT ITS CLASSIFICATIONS OR SUMMARIES WILL BE ACCURATE OR COMPLETE, OR THAT IT WILL PRESERVE ANY PARTICULAR DATA. Some jurisdictions do not allow the exclusion of implied warranties; those exclusions may not apply to you.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
17.1 NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST CLIENTS, LOST BUSINESS OPPORTUNITY, OR LOST OR CORRUPTED DATA, EVEN IF ADVISED OF THE POSSIBILITY.
17.2 FALL GUY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).
17.3 These limits do not apply to a party's liability for fraud, willful misconduct, or gross negligence, or to your obligations under Section 18, or to anything that cannot be limited under applicable law. Washington law does not permit limiting some liabilities; to that extent these limits do not apply.
17.4 The allocation of risk in Sections 16 and 17 is a material part of the bargain and applies even if a limited remedy fails of its essential purpose.
18. Indemnification
As a Customer, you will defend, indemnify, and hold harmless Fall Guy and its members, officers, employees, and agents from any third-party claim, and any resulting loss, damage, liability, settlement, and reasonable attorneys' fees, arising out of or relating to:
- your use of the Service in breach of these Terms or in violation of law;
- your legal services, your representation or non-representation of any person, or your failure to respond to a prospective client;
- the notice or consent your intake page presents, or your handling of participant information;
- any claim by a participant or client of yours relating to intake conducted through your firm;
- your assertion of a retention obligation under Section 8.7;
- your operation of a firm-hosted worker.
We will notify you of the claim, give you control of the defense (except that any settlement affecting us needs our consent), and cooperate at your expense.
19. Governing law, venue, and disputes
19.1 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
19.2 Venue. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington, and each waives any objection to that forum.
19.3 Informal resolution first. Before filing, the complaining party will send written notice describing the dispute to the other and the parties will try in good faith to resolve it for thirty (30) days.
19.4 No class actions. Each party may bring claims only in its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
19.5 Fees. In any action to enforce these Terms, the substantially prevailing party is entitled to its reasonable attorneys' fees and costs.
20. General
20.1 Changes. We may update these Terms. We will post the updated version with a new effective date and, for material changes, give notice through the Service or by email at least thirty (30) days before they take effect. Continuing to use the Service after they take effect accepts them.
20.2 Notices. We may give notice by email to your account address or through the Service. You give notice to us at legal@verantel.com and at the address in Section 21.
20.3 Assignment. You may not assign these Terms without our written consent, except to a successor to substantially all of your business. We may assign them to an affiliate or to a successor in a merger, acquisition, or sale of assets.
20.4 Entire agreement. These Terms and the Privacy Policy are the entire agreement between us about the Service and supersede any prior understanding. If a provision conflicts, these Terms control except on matters the Privacy Policy specifically addresses.
20.5 Severability and waiver. If a provision is unenforceable, it is limited to the minimum extent necessary and the rest stays in force. A failure to enforce is not a waiver.
20.6 Force majeure. Neither party is liable for a delay or failure caused by something beyond its reasonable control, other than a payment obligation.
20.7 Relationship. The parties are independent contractors. Nothing here creates a partnership, joint venture, agency, or employment relationship.
20.8 No third-party beneficiaries. These Terms create no rights in anyone other than the parties in the capacities Section 1 defines.
